Umm Al-Qura Cement Company (UACC) was incorporated as a Saudi joint stock company pursuant to Ministerial Resolution No. 214/Q, dated 25/08/1434H (corresponding to 04/07/2013G) with Commercial Registration number 1010382514 issued on 28/08/1434H (corresponding to 07/07/2013G) with a Share Capital of SAR 275,000,000 (two hundred and seventy five million Saudi Riyals) divided into 27,500,000 (twenty seven million and five hundred) Ordinary Shares with a nominal value of SAR 10 (ten Saudi Riyals) per Share (each a “Share” and collectively the “Shares”). Pursuant to the Company’s By-Laws and Articles of Incorporation and according to the conditions of the license granted by the Ministry of Petroleum and Mineral Resources (MPMR), the Extra-Ordinary General Assembly adopted a resolution on 25/04/1435H (corresponding to 25/02/2014G) to increase the Company’s Share Capital by SAR 275,000,000 (two hundred and seventy five million Saudi Riyals) representing 50% of the Company’s Share Capital (after Offering), thus increasing the Company’s Share Capital to SAR 550,000,000 (five hundred and fifty million Saudi Riyals) divided into 55,000,000 (fifty five million) Ordinary Shares, with a nominal value of SAR 10 (ten Saudi Riyals) each. The Founding Shareholders have waived their preemptive right to subscribe to the new shares and none of them will exercise their right in subscribing in the capital increase.
